Which Terms Apply to You

VoyantIQ sells three different things, and they are governed differently. Read the section that matches what you are doing.

• Reading this website, browsing the applications for sale, exploring a demonstration and asking a question: Using This Website below, and nothing else.
• Subscribing to a hosted Tool: Using This Website, plus Hosted Tool Subscriptions. The Tools platform runs on its own address with its own account; a storefront account is not a Tools account.
• Commissioning a Custom Agent: Using This Website, plus Custom Agent Engagements, plus the written scope agreed before work starts.
• Acquiring an application: Using This Website, plus Acquiring an Application, plus the signed acquisition agreement for that application, which prevails over anything on this page.

Using This Website

• This website describes what VoyantIQ has built and what it costs. Browsing it, exploring a demonstration, and asking about an application require no account.
• Every demonstration on this site runs on synthetic data. Nothing you do in one books anything, charges anything, sends anyone a message, or changes anything at a provider.
• A price shown for an application is an asking price for that application. It is not a valuation of a business, and no revenue, customer count or return is stated or implied anywhere on this site.
• Do not attempt to circumvent access controls, scrape at a rate that degrades the site for other people, or use it to distribute anything unlawful.
• The website, its copy, its design and its code are VoyantIQ's, except where an acquisition agreement transfers a specific application.
• This site is provided as it is. VoyantIQ does not warrant that it will be uninterrupted or error-free, and does not warrant any outcome from a decision you make after reading it.

Hosted Tool Subscriptions

Hosted Tools are rented by the month and never owned. No Tool is published for sale yet; when one is, these are the terms it is offered under and the specific price, allowance and limits appear on that Tool's own page before you subscribe.

• A subscription is per agent, per workspace, charged monthly in United States dollars, and renews monthly until cancelled.
• Cancelling stops the next renewal. It does not refund the current period, and it does not delete what is in your workspace.
• Each Tool states its usage allowance and the unit that allowance is measured in — documents processed, reports completed, or whatever the honest unit is for that agent — on its own page before purchase. There is no unlimited use.
• A failed attempt, an automatic retry and a pause waiting for your approval each have a stated billing rule on the Tool's page. Where a rule is not stated, the attempt is not charged.
• Spending caps and visible limits apply. Additional capacity is bought explicitly and is never applied automatically to avoid an interruption.
• You keep ownership of what you put into a Tool and of what it produces for you. VoyantIQ keeps ownership of the agent, its instructions and its implementation.
• VoyantIQ measures that an agent executed. It does not warrant a business outcome from that execution, and no page may offer one.
• The Tools platform is a separate application with a separate account. Sending you to it is a handoff between two systems and is described as one at the boundary.

Custom Agent Engagements

Custom work is quoted against a written scope agreed before anything starts. The scope document, not this page, defines what was bought.

• Before work begins we agree in writing: the acceptance cases, the supported inputs, the dependencies, the approval boundaries, and what is explicitly out of scope.
• The guarantee is exactly this: it passes the cases you wrote, or you do not pay. It applies to the written scope and to nothing outside it.
• A new requirement discovered during the work receives a separate quote. It is not absorbed, and it does not extend the guarantee to cover itself.
• The initial fit response and the quote are free. A written solution plan is a paid deliverable in its own right rather than a charge for obtaining a quote, and any credit condition attached to it is disclosed before payment is taken.
• A build fee and the ongoing cost of running the result are stated together in the quote. A build fee never silently includes unlimited operation.
• Custom work is non-exclusive. The general capability built may become part of the Tools catalogue.
• What never becomes reusable: your records, your credentials, your confidential rules, your branding, and anything else belonging to you. Your configuration never becomes another customer's default.
• Commissioning a Custom Agent is not acquiring an application, and transfers no ownership of VoyantIQ's underlying intellectual property.

Acquiring an Application

An acquisition is a negotiated sale completed under a signed agreement for that specific application. This section describes the shape of it. Where this page and that agreement differ, the agreement governs.

• One buyer, one acquisition, one time. An application is sold once and then removed from the purchasable catalogue.
• A stated asking price is an invitation to discuss, not an offer capable of acceptance, and displaying it never activates a checkout. An expression of interest does not reserve an application.
• What the agreement covers transferring: that application's source code, its database schema and migrations, its deployment configuration, its documentation, the handover and evidence artifacts that actually exist for it, and the application-specific intellectual property and assets VoyantIQ owns and has agreed to transfer.
• What is not transferred unless that agreement specifically includes it: the VoyantIQ company, the VoyantIQ brand, trademarks or domains, the shared platform, provider contracts, customer records, user data, or any income.
• Acquiring the source and the intellectual property of an application is not acquiring a business. There are no customers, no revenue and no operating history attached to it, and nothing in this transaction creates any.
• Third-party integrations require your own accounts, credentials, subscriptions and any applicable data or commercial licence. These are identified before purchase and obtaining them is yours to do.
• Exclusivity is stated in the agreement for that application and only after any prior rights have been checked. It is never advertised ahead of that check, and the Trust page records which applications have it unresolved.
• Included transition: up to two one-hour handover sessions within thirty calendar days of delivery, and thirty calendar days to report reproducible defects against the agreed delivered version and acceptance scope. A qualifying defect reported inside that window stays covered until it is resolved under the agreed process; day thirty closes the reporting window, not an accepted defect.
• Outside it: new features, your own modifications, ongoing operation, third-party changes after delivery, and continuing dependency maintenance. There is no indefinite support and no ongoing updates.
• Acceptance, remedy and what happens to an unresolved defect are defined in the acquisition agreement rather than here.
• After handover you operate the application. VoyantIQ does not host it, administer it, hold credentials for it, or receive data from it.

Accounts

• You are responsible for the accuracy of what you provide and for keeping your credentials secure.
• A workspace's final active owner cannot leave, be removed, or be demoted without first transferring ownership, so a shared workspace is never left with nobody responsible for it.
• VoyantIQ may suspend an account being used to attack the service or to harm another customer.

Payments

• Every published price is in United States dollars. Checkout does not add sales tax today.
• Where a payment is taken through this site it is processed by a third-party payment provider. VoyantIQ never stores full payment card details.
• An application acquisition begins as an inquiry and is completed under its agreement. It does not pass through the website's checkout.

Liability

• To the fullest extent the law permits, VoyantIQ's services and this website are provided as they are, without warranty of any kind.
• VoyantIQ is not liable for decisions you make using anything it provides, nor for what follows from them.
• Nothing on this page limits any liability that cannot lawfully be limited.
• A signed acquisition agreement or a written custom-work scope may set different and more specific terms. Where it does, it governs.

Changes to These Terms

• These terms carry an effective date and a review date, both at the top of this page.
• A material change takes effect on a new effective date, and the previous version is retained so it can be produced.
• A change to this page never alters a signed acquisition agreement or an agreed custom-work scope.
